If you have a class that teaches the MBCA, I think it would be very helpful - unfortunately mine was primarily focused on the DGCL and Delaware doctrine and many of the rules are different. Very Helpful March 13, 2009 SECPerks (Nashville, TN) The E&E series is very helpful in prepping for exams. The summaries and charts make great aids in outlining. Debating the hypos on my own and with my study group really helped. Most exams are essay responses to hypotheticals, so the book prepares you well. Good Corporations book December 25, 2008 M. Young This book presents the Model Business Corporation Act along with Delaware General Corporation Law, Sarbanes-Oxley and some SEC rules. This mix, with MBCA emphasis, is probably to be expected for a book that tries to cover Corporations material for as many students as possible. Overall, the book is solid in covering examples and explanations of the material covered in my Business Associations course. My class casebook was Corporations Law and Policy: Materials and Problems by Jeffrey D. Bauman, Alan R. Palmiter, and Frank Partnoy. The E&E book matches up nicely with this casebook.
